Position Title: Legal and Compliance Advisor
Job Objective
1. To provide accurate and timely legal advice on all legal matters and law that impacts or may impact the Company, its subsidiaries and affiliates including identification and management of legal risks, providing legal assistance to all departments on company affairs. The position will be responsible for identifying and addressing legal issues associated with the company, and also will assist and liaise with external Lawyers engaged by the company on all legal matters of the company handled by them.
2. To Spearhead Compliance Management function of the Company by establishing the requisite framework including owning, reviewing and updating the Compliance Monitoring manual (Non-aviation aspects).
Key Responsibilities and Accountabilities
Legal Responsibilities
▪ Support all departments in matters related to legal aspects of the company. Provide consultation, legal advice (as appropriate) to CEO and department head on general legal issues of the company.
▪ Provide legal insight and support to CEO on corporate developments, such as corporate
restructuring, business ventures, partnerships or Joint ventures and due diligence conducted in this regard.
▪ Provide guidance for ensuring adherence to legal aspects in drafting policies, rules and regulations for the company and its subsidiaries.
▪ Review and provide recommendations as deemed necessary on all policies and procedures of the company for ensuring that, they comply with local laws and regulations.
▪ Promptly attend to, diagnose and participate in problem solving of various legal issues pertaining to GHC activities and seek external Legal support wherever necessary for ensuring that their legal status is compliant with local laws and regulations.
▪ Draft new contracts, deeds, tenders, proposals, resolutions, rules, regulation and other legal
documents. Review existing legal documents.
▪ Provide legal advice and support to HR on personnel matters, including but not limited to
investigations, employee grievance and claims.
▪ Manage legal disputes of the company by liaising with external lawyers.
▪ Monitor and supervise legal issues handled by external lawyers and provide them accurate
particulars.
▪ Coordinate within the company and with external lawyers for determining appropriate legal course of action on all legal issues faced by the company.
▪ Be a custodian for maintaining all confidential documents assigned by CEO.
Compliance Responsibilities
▪ To delegate and supervise compliance officer (or a person designated as such) in executing
compliance tasks enumerated in the compliance monitoring manual including planning and executing compliance audit.
▪ To perform advisory role as per compliance monitoring manual so as to support compliance with laws and regulations to which the organization is exposed. Further, provide legal support to Compliance officer in preparation and review of compliance register and checklist, liaise with external lawyers / authorities for obtaining clarification / confirmation on applicability / inapplicability of various laws affecting the company
▪ Review, validate and approve compliance audit reports / other reports prepared by the compliance officer, and ensure submission of final reports to the management and support further submission to board.
▪ Perform any other tasks as described to be performed by the legal consultant in the compliance monitoring manual.
Other responsibilities:
▪ Establish a system for managing and monitoring all the tasks handled.
▪ Perform activities of Board Secretary
▪ Perform any other duties / tasks as assigned by CEO.
Performance Indicators
▪ Reviewing legal / contractual documents within specified time limits.
▪ Number of legal advice/ recommendations provided and accepted.
▪ Number of existing legal gaps/ issues identified and rectified.
▪ Number of legal issues averted due to development of sound legal policies and procedures.
▪ Amount of penalties / liquidated damages averted.
▪ No of new compliance requirements identified and implemented.
▪ No of Compliance issues identified and resolved.
Qualifications, Experience & Skills
Qualification
▪ Bachelor’s Degree in law or other comparable discipline
▪ Professional certification from relevant institutions preferred.
Experience
▪ Five to Eight years relevant experience
▪ Experience in drafting contracts, agreement and other documents
▪ Experience in liaising with external lawyers and legal firms

▪ Fluent in English
▪ Fluent in Arabic
▪ Advanced interpersonal skills
