We are seeking a highly motivated and experienced Mergers & Acquisitions (M&A) Attorney to join our Legal team. This role will be responsible for leading and executing the legal components of strategic transactions, including global mergers, acquisitions, divestitures, and joint ventures. The ideal candidate will bring strong deal experience, exceptional drafting and negotiation skills, and the ability to collaborate effectively with internal stakeholders and external advisors. This position plays a critical role in executing high-impact transactions that directly support the company's strategic growth and global expansion efforts.

Responsibilities:
  • Serve as the lead attorney on all legal aspects of global mergers, acquisitions, divestitures, and joint ventures from inception through post-closing integration.
  • Draft, review, and negotiate complex transaction documents, including purchase and sale agreements, confidentiality agreements, letters of intent, and transition service agreements.
  • Partner closely with cross-functional teams-including Corporate Development, Finance, Tax, HR, and Compliance-to provide legal guidance and ensure alignment throughout the transaction lifecycle.
  • Provide expert legal advice on antitrust and competition law issues, including merger control filings, and coordinate with regulators and external advisors as needed.
  • Manage and direct outside counsel to ensure quality, efficiency, and alignment with business objectives.
  • Support due diligence activities and identify and mitigate legal and regulatory risks.
  • Contribute to the development and continuous improvement of M&A legal processes, playbooks, and best practices.

Requirements:
  • Bachelor's degree required.
  • Juris Doctor (JD) from an accredited law school; must be licensed and in good standing to practice law in at least one U.S. jurisdiction.
  • 3-7 years of legal experience with a focus on M&A transactions, preferably a mix of law firm and in-house experience.
  • Demonstrated ability to manage multiple, high-priority transactions in a fast-paced and dynamic environment.
  • Strong business acumen and the ability to translate complex legal concepts into actionable, business-friendly advice.
  • Excellent negotiation, communication, and interpersonal skills.
  • Willingness and ability to travel domestically and internationally as needed.
