We have an exciting opportunity for a Bucharest-based Legal Counsel to join and support the Romanian activity of the Energy Management (EM) Division of ENGIE Romania.

You will work in Energy Management team in Bucharest, offering support for trading and portfolio activities on the day to day topics related to power and gas businesses. Being part of ENGIE will offer you the opportunity to take part in the ongoing initiatives and projects launched within S&EM Legal & Regulation global team.

What you will do:
  • You will develop and execute comprehensive legal strategies and solutions to support EM commercial goals while effectively managing legal risk.
  • You will advise on EM contracts throughout the entire lifecycle - from negotiations to reviews - including ISDA and EFET Master Agreements, energy commodity supply contracts, Renewable Power Purchase Agreements, BESS and Biomethane Agreements, related agreements, as well as bespoke energy, risk management and services contracts.
  • You will draft, review, and negotiate credit management support documentation (e.g., netting agreements, credit support annexes, letters of credit, and guarantees) along with any ancillary agreements.
  • You will conduct regulatory and other due diligence, and advise on credit support, legal opinions, and other conditions precedent relevant to EM contracts and services.
  • You will liaise with internal stakeholders and draft legal analyses and memoranda for management decision-making and governance purposes.
  • You will monitor and address legal and regulatory developments relating to energy commodities in regulated markets, provide training on topical issues to EM colleagues, attend internal events, industry conferences, and forums.
  • You will prepare internal guidance, develop policies, create and implement legal guidelines, and enhance standard clauses to meet EM's legal and compliance requirements.
  • You will advise on and support the implementation of standard forms and documentation in line with commercial, financial, and energy market regulation..
  • You will provide legal support in response to contractual event-driven issues such as events of default, covenant breaches, force majeure, waivers, acceleration, and enforcement, as well as in pre-insolvency and insolveSncy procedures.
  • You will supervise external counsels and manage external legal resources effectively.


Desired education, expertise, and skills:
  • At least five-years' experience as in house in an energy company or as energy lawyer in a law firm;
  • Languages: Proficiency in English and Romanian, oral and written, with strong drafting skills (another language is a plus);
  • Being familiar with, and demonstrate responsibility for a range of energy commodity transactions;
  • Transaction management skills;
  • Excellent technical and commercial skills;
  • An intellectual curiosity and hunger to learn;
  • Demonstrating commercial understanding, good judgment on legal risk decisions and on knowing when to escalate;
  • Demonstrating exposure to innovative deals and structuring;
  • Ability to articulate governance and risk policies;
  • Strong interpersonal and communication skills;
  • Confident, capable and quick to learn;
  • Working effectively as part of a team;

We are looking for a Contracts Negotiation Lawyer to join the existing team of two persons in Bucharest, to support its expanding business in Romania which includes trading of energy commodities, financial derivate contracts, risk management services and energy transition contracts including corporate power purchase agreements, batteries and biomethane contracts.
