Airswift is seeking a Contracts Negotiator to independently plan and manage the negotiation of complex Information Technology contracts for:

• X-as-a-Service (X = Software, Infrastructure, Cybersecurity, etc.) agreements and Orders;
• Perpetual and subscription licenses for software and data;
• Maintenance and support agreements for software, data and hardware;
• Professional Services for IT Services;
• Telecommunications agreements;
• Non-Disclosure and Confidentiality agreements

This role will be primarily in support of company's New Ventures organization with a focus leading edge technology referred to as Direct Air Capture. The company is constructing the first commercially viable Direct Air Capture facility using proprietary technology and processes with the first facility slated to go into production in the first half of 2025 and with a capacity to remove 500,000 tons per year of Carbon Dioxide from the atmosphere. Subsequent plants will each have the capacity to capture nearly 1 million tons annually and may be constructed in the United States and abroad.

The work requires discretion as much of the information being communicated is considered Trade Secrets under applicable law.
The incumbent provides advice and counsel to the IT Technical Team (the Digital Program Office), executive management for the New Ventures organization and to IT management. The incumbent works with various team members to identify needs and then identify appropriate contracting approaches to engage with identified vendors (new and existing) to protect company's while providing flexibility in execution of the agreements. The incumbent demonstrates initiative to obtain a deep understanding of issues relevant to the various areas of responsibilities such as those issues or points of concern unique to each field identified above. The incumbent thinks creatively to help understand the needs and then works with the team and vendors to craft a solution to address those needs and anticipate changes.
The knowledge and experience will be gained via a combination of education and hands-on experience in preparing for and leading negotiations in either a first chair or second chair position on both legal and commercial matters associated with the negotiations. While other teams will support the negotiations, the Contracts Negotiator will be responsible for the ultimate negotiation of the terms and conditions and coordinating with others in Legal, Risk, Tax and other organizations as identified by their manager.

Minimum Requirements:

• Bachelors Degree in business, pre-law, accounting, finance, information technology field. Will substitute an additional three (3) years of experience to bullet below on experience for no Bachelors Degree.
• Five (5) years of progressively complex IT contract negotiations for the goods and services identified above. Candidate should be prepared to provide explicit descriptions of the type of agreement, the challenges and the results achieved;
• Detail oriented. The manager is a perfectionist and expects the incumbent to carefully analyze the agreements to address the applicable issues and scenarios;
• Working knowledge of a liability based work environment from perspective of allocation of liability and risks;
• Demonstrated experience in communicating in clear and concise manner;
• Ability to self-manage conflicting priorities to perform needed priorities on-time;
• Initiative;
• Detail oriented;
• Ability to work in and thrive on ambiguity;
• Demonstrated ability to work with minimal supervision.

Nice-to-have:

• Understanding of knock-for-knock liability environments for high risk work environments.
• Bachelors degree is highly preferred but not required.
• J.D. preferred but not required.
• Prepared to substitute experience for education.
• Working knowledge of Amazon Web Services Marketplace.
