Candidate Profile

  • Bachelor of Law graduate having minimum three years experience in corporate environment.
  • Having an analytical mind able to see the complexities of procedures and Cambodian regulations.
  • Having in-depth knowledge on relevant Cambodian laws with excellent communication skills in English and Khmer languages, both written and verbal.

Activities

I. Primary functions :

Responsible for all legal-related matters within TotalEnergies Marketing Cambodia ("TEMC") and its affiliates, which can be in the forms of, but not limited to:

  • Key coordinator for contract management within TEMC with accurate contract master list (i.e. orderly safe keeping of all original contracts, amendments, licenses, permits and other legal documents)
  • Reviewing, amending or drafting of contracts and/or MOUs following the Company or Regional templates and rules, independently engaging and seeking advices from VPCA, regional legal team and local law firm(s), if necessary
  • Ensuring that Company and Regional policies are incorporated and adapted into local contracts/agreements and/or any other legal documents
  • Key coordinator to organise relevant documents required for the processing of application and/or renewal of licenses and permits (e.g. construction permits and licenses, VAT/Patent certificate renewal) for the smooth operations of TEMC
  • Preparing, coordinating with commercial and finance team, sending and following up debt recoveries from defaulting customers
  • Responsible for the timely execution of the relevant board and shareholder's resolutions and minutes of meetings and if necessary to work with any Company Secretary engaged by TEMC
  • Coordinating with local and regional legal team/lawyers on all legal-related matters, queries, cases, issues and concerns
  • Key responsibility to monitor and keep abreast of any new and/or changes to laws and regulations (especially within Cambodia) which have on TEMC and its affiliates through regular memo updates (e.g. email) to VP CA and relevant management within TEMC


  • II. Primary functions:

    Responsible for assisting the Corporate Compliance Officer (the "CCO") in its compliance-related tasks within TEMC and its affiliates, which can be in the forms of, but not limited to:

  • Ensuring adoption of the Group's Compliance Program, monitoring and reporting the effectiveness, violation and non-conformities
  • Assisting the CCO in communicating, promoting the programs, creating awareness, preparing reports, handling activities and training the employees on compliance-related subjects including review of Due Diligence reporting
  • Ensuring, reviewing, safekeeping of all compliance-related documentation using the tools, database, Group regulations, internet search, archiving, including but not limited to, reviewing due diligence documentation and discussion, resolution on potential mitigation measures,
  • Assisting the CCO on documentation and investigation of potential or reported cases of fraud, whistleblowing, conflict of interest and other non-compliance with the Group policies.
  • Develop, maintain and review of policies on Compliance Program's general operation to prevent or deal with improper, unethical and illegal conduct of an employee or group of employees or third parties (ie. customers, dealers, suppliers, representatives, business partners)
  • Keeping abreast of regulatory environment and Group policies as well as evolving best practices in compliance control.


  • Context & Environment

    Legal and Compliance Officer has to evolve as a critical position in ensuring legal, regulatory and Group Compliance Program implementation, reporting and providing sound support and recommendation to VPCA and CCO. This position has to work in a fast paced regulatory changing environment where legal and compliance are a major consideration and key decisions have to made having direct impact on the business performance, image and ethical standards. It has to maintain close coordination within the business and support teams, and with local pool of lawyers and APMO Regional legal team to deliver expectations on compliance.

    LCO has to be abreast with legal and compliance Group guidelines, Cambodian regulations and corporate governance best practices. The goal of this position is to preserve the Corporate's integrity and regulatory compliance and ensuring Group Compliance Program is well enforced and known within the workforce and with the concerned third parties.

    Additional Information

    • Matters related to legal guidelines and internal compliance policies to monitor enforcement and implementation of such guidelines and policies.
    • Responsible for alerting, updating and escalating any legal and compliance issues to the CCO/VPCA including any incident of corruption, fraud, non-compliance, antitrust violation, among others, which comes to his/her attention in the course of executing his/her tasks.
    • Be abreast on any introduction or amendment of existing regulations, locally and internationally, and with the Group policies and standards affecting TC and its affiliates.
